General Terms of Cooperation for Institutional Partners

1. Nature and Purpose of This Public Offer

This Public Offer sets out the general terms on which AMZugerberger AG ("AMZugerberger," "we") proposes to cooperate with accredited universities, colleges, and schools ("Institutional Partner," "Partner," or "you") for the recruitment and placement of prospective students. It constitutes a standing offer to contract; it becomes binding between AMZugerberger and a specific Partner only once accepted in the manner described in Section 13, typically through a signed individual Agency/Cooperation Agreement that references and incorporates these terms.

This Public Offer is addressed exclusively to institutions, not to individual students or their families. AMZugerberger's compensation for Services under this Public Offer is paid solely by the Institutional Partner; Candidates are not charged a fee for services covered by an active Partner agreement.
 

2. Definitions

"Services" means the recruitment, screening, and liaison activities described in Section 3. "Candidate" means a prospective student referred by AMZugerberger to a Partner. "Individual Agreement" means the specific written agreement signed between AMZugerberger and a given Partner, which prevails over this Public Offer in case of conflict.
 

3. Description of Services

Subject to the Individual Agreement, AMZugerberger provides:

  • Recruitment Pipeline — sourcing and referring qualified Candidates to reduce the Partner's domestic marketing overhead.

  • Compliance & Screening — verification of academic credentials and supporting documentation prior to referral.

  • Liaison & Reporting — ongoing communication between AMZugerberger and the Partner's admissions office, and reporting on Candidate progress and outcomes.

AMZugerberger acts as an independent intermediary and does not have authority to make admission decisions, issue offers, or bind the Partner in any way, unless separately and explicitly authorized in writing.
 

4. Partner Obligations

The Partner agrees to: provide AMZugerberger with accurate, current information about programs, admission requirements, tuition, and deadlines; respond to referred applications within a reasonable and previously agreed timeframe; and promptly disclose any change to accreditation status or program availability that would affect Candidates already referred.
 

5. Compensation

Where compensation applies, it is structured as a commission tied to successful Candidate enrolment, or another structure as set out in the Individual Agreement. No compensation is due for Candidates who do not enroll, unless the Individual Agreement provides a retainer or other arrangement. AMZugerberger does not charge Candidates a fee for services covered by an active Partner agreement, in order to avoid dual compensation for the same placement.
 

6. Confidentiality and Data Protection

Each party agrees to keep confidential any non-public business information received from the other in the course of the cooperation, and to use it only for purposes of the cooperation.

Where personal data of Candidates is transferred between the parties, each party will process it in accordance with applicable data protection law (including the Swiss FADP and, where the Partner or Candidate is in the EU/EEA, the GDPR), implement appropriate safeguards, and use the data only for admissions-related purposes. Where required by applicable law, the parties will enter into a separate data processing arrangement.
 

7. Intellectual Property

Each party retains ownership of its own trademarks, logos, and materials. Neither party may use the other's name, logo, or marketing materials without prior written consent, except as reasonably necessary to describe the cooperation (e.g., listing the Partner as an institution AMZugerberger works with).
 

8. Term, Suspension, and Termination

Cooperation under an Individual Agreement runs for the term specified therein, or, absent a specified term, on a rolling basis terminable by either party on 30 days' written notice. Either party may terminate with immediate effect for material breach not remedied within a reasonable cure period, or for conduct that could damage the other party's reputation or legal standing. Commission earned on Candidates referred prior to termination remains payable per Section 5, even if enrollment occurs after termination.
 

9. Liability

AMZugerberger provides Services on a best-efforts basis and does not guarantee any specific number of referrals, applications, or enrollments. Except in cases of intent or gross negligence, AMZugerberger's liability under this Public Offer and any Individual Agreement is limited to direct damages and shall not exceed the compensation received from the Partner in the twelve months preceding the event giving rise to the claim.
 

10. Force Majeure

Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including war, government action, natural disaster, or significant disruption to international travel or communications.
 

11. Amendments

AMZugerberger may update this Public Offer from time to time; the version in force at the time an Individual Agreement is signed governs that Agreement, unless the parties agree otherwise in writing.
 

12. Governing Law and Dispute Resolution

This Public Offer and any Individual Agreement based on it are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules. The exclusive place of jurisdiction for any dispute is the ordinary courts at AMZugerberger's registered seat in [canton], subject to any mandatory statutory venue.

13. How to Accept This Offer

An Institutional Partner accepts this Public Offer by countersigning an Individual Agreement referencing it, or, where AMZugerberger expressly confirms this in writing, by commencing cooperation (e.g., accepting a referred Candidate) after having been given a reasonable opportunity to review these terms.
